standard terms and conditions of service

1. Scope of Work: The scope of work to be performed by Upsoul (hereinafter referred to as “Contractor”) shall be as agreed between Contractor and the customer (hereinafter referred to as “Client”). The Contractor will work with the Client to determine the full extent of the Scope of Work.

2. Term: This Agreement shall commence on the date of acceptance by the Client and shall continue until the completion of the Scope of Work, unless terminated by either party upon thirty (30) days written notice.

3. Payment: The Client shall pay the Contractor fifty percent of the sum upon acceptance of this Agreement and the remainder fifty percent  upon completion of the Scope of Work. The Client shall also pay the Contractor any sum for any additional services or changes requested by the Client outside of the scope of work outlined in this Agreement. All payments shall be made in Australian dollars.

4. Intellectual Property: The Contractor retains ownership of all intellectual property rights in any pre-existing materials developed by the Contractor. Upon completion of the website and payment in full by the Client, the Client shall own all intellectual property rights in the completed website.

5. Confidentiality: Parties shall keep confidential and shall not disclose to any third party any confidential information of the other Party.

6. Warranty: The Contractor warrants that the services will be free from defects in design and functionality for a period of thirty (30) days from the date of completion. If the Client discovers a defect in the services within thirty (30) days from the date of completion, the Contractor shall correct the defect within a reasonable time frame.

7. Limitation of Liability: The Contractor shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with this Agreement.

8. Termination: This Agreement may be terminated by either party upon thirty (30) days written notice if the other party breaches any material term or condition of this Agreement.

9. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Western Australia, Australia.

10. Dispute Resolution: Any disputes arising out of or in connection with this Agreement shall be resolved through mediation in Perth, Australia before resorting to arbitration or litigation.
